If you already own a company somewhere else in the world, here is something most business owners are not told: you do not have to shut it down to bring it to the UAE.

You can move everything and retain your Brand name and Identity, your registration date, your history, your contracts. All of it can come with you to Umm Al Quwain Free Trade Zone (UAQ FTZ).

This is called Company Continuation, sometimes known as Company Migration or Re-Domiciliation. Here is how it works, and why a growing number of business owners are quietly choosing UAQ FTZ as their new home.

What is Company Continuation, in simple terms?

Think of it like moving houses.

You move all your belongings to a new house, a new address - but maintain the same identity. You just live in a new locality. Change your Pincode and mailing address. The only thing that changes is the address.

Company Continuation works the same way. Your company keeps its identity, its registration date, its ownership structure, and its history. It simply continues its journey in UAQ FTZ instead of its current jurisdiction. Legally, it is the same company — not a new one. The UAE registrar issues a Certificate of Continuation, and your original incorporation date stays exactly as it was.

Why This is Different from Setting Up a New Company

Most people who want a UAE presence are told the same thing: you need to close your old company and set up a fresh one here, and start all the lengthy documentation over again.

That advice is outdated. Closing and reopening means a brand new incorporation date (you lose your trading history), re-signing every supplier and client contract over again and reopening bank accounts from scratch, not to mention, rebuilding the credit and reputation your old company spent years earning.

Company Continuation skips all of that. Your contracts remain valid. Your banking relationships continue. Your trading history stays attached to your name. You just operate under a UAE legal framework from now on.

Why So Many Businesses Are Choosing UAQ FTZ

1. You Keep Your Company Name and History

This is the headline benefit. Your registration date, your trading name, and your corporate history are preserved exactly as they were. A 12 year old company with a clean track record opens doors that a 12 day old company cannot.

UAQ FTZ is one of the most competitively priced full service free zones in the country,offering an array of Business Activities in the same jurisdiction Compared to the larger Freezones in Dubai, Abu Dhabi, Sharjah, Ras Al Khaimah, Ajman and Fujairah, the annual licence fees and operating costs are noticeably lower - without giving up the credibility, infrastructure, or banking access that are available across the United Arab Emirates.

4. UAE Residency Visas for You, Your Family, and Your Team

Once your company is registered with UAQ FTZ, you can apply for a UAE residency visa for yourself, your family, and your employees. That gives you full legal status to live in any Emirate in the UAE, open personal bank accounts, lease property, and enrol your children in local schools.

UAQ FTZ companies are recognised by major UAE banks and many international institutions. Because your company already has trading history (which you retained), the conversation with banks tends to move faster than it would for a brand new entity.

Re-domiciliation has a reputation for being complicated. In practice, with the right guidance, it usually takes around six to eight weeks and most of the steps can be handled remotely, right through till visa issuance

How the Company Continuation Process Actually Works?

  • Step 1 - Confirm if your current jurisdiction allows it. Not every country permits companies to leave. Common law jurisdictions like the BVI, Cayman Islands, Bermuda, Mauritius, Seychelles, and several other UAE free zones do allow it.
  • Step 2 - Get a preliminary approval from UAQ FTZ. You submit your articles of association, certificate of good standing, recent financial statements, shareholder resolutions, and KYC for the owners.
  • Step 3 - Apply to de-register in your current jurisdiction. Your home jurisdiction issues a Certificate of Discontinuance, formally releasing your company.
  • Step 4 - Complete the continuation in UAQ FTZ. Once UAQ FTZ has the discontinuance certificate, they issue a Certificate of Continuation. From that day, your company is legally a UAQ FTZ entity - with all of its original history attached.
  • Step 5 - Update banking, contracts, and records. Your contracts remain valid because the legal entity has not changed. You only need to notify counterparties of the new registered address.

Who Should Seriously Consider This?

Company Continuation tends to make sense if you fit one of these profiles:

  • You have an offshore company in BVI, Cayman, Seychelles, or similar, and you are feeling pressure from substance requirements or banking restrictions.
  • You have a company in another UAE free zone and your annual operating costs (license renewal and commercial office lease) are higher than they need to be.
  • You want UAE residency and banking access but cannot afford to lose the years of credibility your existing company has built.
  • You are simplifying a group structure and want to consolidate into a single UAE base.

Frequently Asked Questions

Will my company name change when I move to UAQ FTZ?
No. Your company name, registration date, and corporate history remain intact. That is the entire point of continuation.

Do I need to re-sign all my contracts?
No. Because the legal entity is the same, your existing contracts continue to be valid. You only need to notify counterparties of the new registered address.

How long does the process take?
Most re-domiciliations are completed within six to eight weeks, depending on how quickly your current jurisdiction issues the Certificate of Discontinuance.

Do I have to be in the UAE during the process?
Most of the work can be done remotely. A short visit may be needed at the end for visa processing and bank account opening.

Will I really pay 0% corporate tax?
